Article I. Organization Name

Night Walkers, Inc

Article II. Purpose

  1. Section 1. General nonprofit purpose (as submitted initially)

Night Walkers is organized exclusively for the scientific and educational promotion of biological field research, wildlife conservation, environmental sustainability, habitat monitoring, citizen science, and ecosystem restoration.

  1. Section 2. Specific Purpose: Objective

To further field research with participation from people that share interests in fieldwork, flora/fauna (both specialized and general), remote-sensing techniques, ecosystem functions, and all with a focus in conservation and natural history.

Article III. Board

  1. Section 1. Positions

The board shall be comprised of at least a President, Vice President, and one other position – including, but not limited to, Treasurer, Secretary, Director of Programs, Director of Communications, Director of Development, Director of Community Outreach, Director of Fundraising, etc. Some of these positions may be Officer positions (see Article V. Section 2. a).

  1. Section 2. Expectations of Action

Board members will present actions/motions to be voted on that further the purpose of Night Walkers, Inc. Board members will also vote and have discussions upon presented actions/motions.

III.       Section 3. Appointment

Directors will be elected by the existing Board of Directors.

Article IV. Meetings

  1. Section 1. Regularity

Meetings of the Board of Directors shall be held annually at minimum. The President may call additional meetings as he/she sees fit.

IV.       Section 2. Voting

Motions will pass with majority voting by the Board of Directors.

Article V. Membership

  • Section 1. Involvement

Members in the Night Walkers, Inc organization that are not on the Board of Directors are welcome to present motions to Directors. While members are non-voting, there may be special circumstances allowing for voting on specific motions – depending on Board of Directors approval by majority vote.

V.        Section 2. Officers

Some officer positions may be given to members in good standing. This will allow for practical management of the organization, while the Board of Directors will fill the role of general governance.

V.2.a. Officer Positions

Officer position examples include, but are not limited to, Treasurer, Secretary, Director of Programs, Director of Communications, Director of Development, Director of Community Outreach, Director of Fundraising, etc.

Article VI. Committees

  • Section 1. Types

Committees may be formed if/when membership is substantial and the Board of Directors approves of them when necessary. Committees can include PR, Marketing, Fundraising, HR, Strategic Planning, etc.

Article VII. Books and Records

            VII.     Section 1. Meeting Minutes

                        A written record of meeting minutes will be made for each Board of Directors                               meeting.
